Primary Responsibilities:
Assist the Board of Directors (BOD) and the coordination team in updating and refining the organization’s general bylaws to reflect the current reality and future objectives of the group. 

Key Responsibilities:

• Support for analyzing the current situation: Review current documents (articles of incorporation and bylaws) to identify missing sections, obsolete clauses, and provisions that are ambiguous or non-compliant with the law.
• Research and compliance: Ensure that the content complies with the requirements of the Registraire des entreprises du Québec (REQ) and best governance practices.
• Drafting and proposal: Assist the coordination team and the governance committee in drafting proposed amendments for the board of directors. Key areas include:
  • The composition of the board and the election process,
  • Member categories and their rights,
  • General meeting procedures (quorum, voting, notice of meeting).
• Support for adoption: Assist in preparing explanatory documents for the general meeting.

experience: Experience in NPO governance, business law, or association management in Quebec.
